Rip Van Wholesale Terms & Conditions
Orders Minimums - Orders must be made in 1 case quantities with a minimum order quantity of 1 case.
Pricing - All prices are listed in US dollars and are subject to change without notice.
MAP Pricing Policy & Sale of Products - Customers may not use the Rip Van name or products to advertise or otherwise promote Rip Van products on the Internet at a net price that is lower than our set MAP. Rip Van’s pricing policy can change at any time without notice. Rip Van reserves the right to request that the customer cease advertising or promoting Rip Van products if Rip Van finds that customer has violated this pricing policy. Any sale of Rip Van products on any third party websites, including without limitation, Amazon.com, or in any third-party marketplaces, is expressly prohibited.
IP - Rip Van images, logos, photography, trademarks, and creative assets are the sole and exclusive property of Rip Van, Inc., and no license is expressed or implied by your sale of Rip Van products. The customer may request use and reproduction by emailing Rip Van at sales@ripvanwafels.com. In all cases, Rip Van reserves the right to discontinue the right to use and/or reproduce such images, in Rip Van’s sole discretion.
Shipping, Delivery, Transfer of Ownership - All orders will be shipped via small parcel. Rip Van will exert its best efforts to arrange for delivery within 7 business days of order. Ownership of the product will be transferred to the customer at the time of delivery.
Cancellation - Rip Van reserves the right to cancel an order for any reason or for no reason, including, without limitation your breach of these terms at our sole discretion.
Payment Terms - Credit card payments will be processed in full at the time of order. For accounts above $10,000 annual volume, the customer is allowed to request credit terms subject to Rip Van’s sole and absolute discretion which may be revoked due to credit terms being exceeded.
Claims - All shipments must be inspected at the time of delivery for shortages and damage. Rip Van is not responsible for delays caused by the carrier but will use all reasonable efforts to ensure on-time delivery. If damage is concealed upon delivery, please contact customer service at sales@ripvanwafels.com within 48 hours of receipt of delivery. Rip Van limits any claims to the value of the product and is not responsible for the loss of profit or other expenses incurred.
Returns - Rip Van will review return requests on a case by case basis. If the issue is related to a quality defect, Rip Van will refund quantity impact or send replacement products with proof of defect with its reasonable discretion.
Agreement & Acknowledgement - By checking the box at the bottom of this page, you acknowledge that you have carefully read and agreed to these Terms & Conditions and to the enforcement of any and all such terms in the sole discretion of Rip Van, Inc. If any term, provision, covenant, or condition of these Terms & Conditions is held by a court of competent jurisdiction to be invalid or unenforceable, the remaining terms of provisions will remain in full force and effect and shall in no way be affected, impaired or invalidated.
